These Terms of Service ("Terms") govern your use of the products offered by Springhead, LLC ("Springhead," "we," "us"), including Tick, our Chrome extension for QuickBooks Online. By using our products, you agree to these Terms.

Subscription and billing

You agree to use Tick in good faith. Specifically, you agree not to:

Service availability

We make best-effort attempts to keep Tick available, but we do not offer an uptime SLA. Maintenance, outages, and dependency failures (Intuit's API, Anthropic's API, Supabase, Vercel) may impact service.

Bookkeeping disclaimer

Tick is a tool that assists you in categorizing transactions. It is not a substitute for professional accounting judgment. You remain responsible for the accuracy of your books, your tax filings, and any decisions made based on Tick's suggestions.

Intellectual property

Springhead retains all rights to the Tick software, the Springhead brand, and any related intellectual property. You retain all rights to the data you connect through Tick (your QBO data, your rules, etc.).

Limitation of liability

To the maximum extent permitted by law, Springhead is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of Tick. Our total liability for any claim arising under these Terms is limited to the amount you paid us in the 12 months preceding the claim.

Governing law

These Terms are governed by the laws of the State of Arkansas, USA. Any dispute arising under these Terms will be resolved in the state or federal courts of Arkansas.

Changes to these Terms

If we materially change these Terms, we'll notify subscribers via email at the address on file. Non-material updates are reflected by changing the "Last updated" date at the top.
